Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," "User," or "Parent") and TechnoDucks Inc., doing business as Kidgency ("Company," "we," "us," or "our"), concerning your access to and use of the website https://kidgency.com and any related services we provide (collectively, the "Services").

By booking a trial session, enrolling a child in a programme, or otherwise using the Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

Supplemental terms or documents that may be posted on the Services from time to time are hereby expressly incorporated by reference.

Who can use the Services? Only adults (18 or over) acting as the parent or legal guardian of the child attending, or with the guardian's authorisation. Children do not hold accounts with us. See Section 2.

The trial session is free. No payment card is required. You can reschedule or cancel at any time by emailing us. See Section 3.

Paid programmes are not yet active. When they are introduced, pricing, payment terms, and a Refund Policy will be presented before any paid booking is confirmed. See Section 4.

We are an educational service, not a therapy, medical, or clinical service. See Section 8.

These Terms are governed by Nevada law, but if you are a consumer in the UK or EU, mandatory consumer protection laws of your country of residence continue to apply. See Section 10.

1. About these Terms

In Short: These Terms are the agreement between you and TechnoDucks Inc. (operating as Kidgency).

The Services are operated by TechnoDucks Inc., a corporation registered in the State of Nevada, USA, with its registered office at 5348 Vegas Drive #1485, Las Vegas, NV 89108. References to "Kidgency" throughout these Terms refer to TechnoDucks Inc. acting under that trading name.

These Terms apply alongside the Privacy Notice, the Cookie Notice, and the Safeguarding Policy. Where a conflict arises between these Terms and any of those other documents in relation to a specific subject matter, the document most specific to the subject shall prevail.

2. Who can use the Services

In Short: You must be at least 18 years old and acting as the parent or legal guardian of the child.

By using the Services you represent and warrant that:

Children do not hold accounts with Kidgency. Children do not interact with the booking form, payment systems, or account settings. All administrative and contractual matters are handled between Kidgency and the parent or legal guardian.

3. Booking and attending a trial session

In Short: The trial is free, 45 minutes, and can be rescheduled or cancelled by emailing us.

3.1 The free trial

We offer a complimentary trial session of approximately forty-five (45) minutes' duration for eligible families. The trial comprises a live group session and a follow-up assessment ("Skill Map"). No payment or payment card is required to book.

Following a confirmed booking, we will send a joining link by email, typically within twenty-four (24) hours of the booking. The session takes place at the scheduled time via our online platform. The Parent shall ensure that the child has:

3.3 Rescheduling and cancellation

To reschedule or cancel a trial session, the Parent shall notify Kidgency by emailing hello@kidgency.com at least two (2) hours before the scheduled start time. Where possible, we will accommodate rescheduling to a mutually convenient slot.

Repeated non-attendance without prior notice may result in the suspension of future trial booking privileges.

3.4 Skill Map

The Skill Map is an informal, non-clinical summary prepared by the educator reflecting observations from the trial session, together with general recommendations for the Parent. The Skill Map is provided for informational purposes only and does not constitute a clinical, psychological, or educational diagnostic assessment.

4. Paid programmes

In Short: Paid programmes are not yet active. Pricing and refund terms will be shown before any paid booking.

At the time of publication of these Terms, Kidgency offers trial sessions only. Paid programmes, including the twelve (12) month Learning Journey, will be introduced in due course. When paid programmes are offered:

5. User conduct and session rules

In Short: Sessions are live, respectful environments. No recording, no abusive behaviour, no sharing session content externally.

To ensure sessions are safe, productive, and fair to every participant, the Parent agrees to the following, and shall ensure the child attending also complies:

We reserve the right to pause or terminate a session, remove a participant, or decline future bookings where these standards are not observed. Where practicable, we will communicate with the Parent before taking such action.

6. Intellectual property rights

In Short: All content on our website and in our sessions belongs to us or our licensors. You may use the Skill Map for your family's personal use, but not reproduce our curriculum commercially.

Unless otherwise indicated, the Services and all content, materials, names, logos, and trademarks contained therein, including but not limited to the programme curriculum, the "Learning Journey" structure, lesson scenarios, character missions, Skill Maps, written and visual materials, and the Kidgency name and logo (collectively, the "Content"), are the property of TechnoDucks Inc. or are licensed to us, and are protected by copyright, trademark, and other intellectual property laws.

In Short: Kidgency is educational, not clinical. Our total liability is capped. Your statutory consumer rights are not affected.

8.1 Disclaimer

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, in connection with the Services and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Services are educational and developmental in nature. They do not constitute, and are not a substitute for, therapy, psychological treatment, psychiatric assessment, special educational needs (SEN) provision, medical advice, or any other clinical service. If your child has specific clinical, medical, or educational needs, you should consult an appropriately qualified professional.

We do not warrant that participation in the Services will result in any specific educational, behavioural, or developmental outcome. Outcomes vary from child to child and are influenced by many factors outside our control.

8.2 Limitation of liability

Nothing in these Terms limits or excludes our liability for:

9. Indemnification

You agree to defend, indemnify, and hold harmless TechnoDucks Inc., its officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

10. Governing law and dispute resolution

In Short: Nevada law applies, but consumers in the UK and EU keep their home-country consumer rights.

10.1 Governing law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Nevada, USA, without regard to conflict-of-law principles.

10.2 Jurisdiction

Subject to Section 10.3 below, the state and federal courts located in Clark County, Nevada, USA, shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

10.3 Consumers in the UK and EU

If you are a consumer ordinarily resident in the United Kingdom or a Member State of the European Union:

Before initiating formal proceedings, you agree to contact us in writing at hello@kidgency.com and give us a reasonable opportunity (no less than thirty (30) days) to resolve the dispute informally. Most issues can be resolved without recourse to litigation.

In Short: Either of us can end the relationship. You can ask us to delete your data at any time.

Termination by you. You may end your relationship with Kidgency at any time by discontinuing use of the Services and, if you wish, by contacting hello@kidgency.com or privacy@kidgency.com to request deletion of your records.

Termination by us. We may suspend or terminate your access to the Services, with or without notice, if:

12. Changes to these Terms

In Short: We may update these Terms. Material changes are announced at least fourteen (14) days in advance.

We may revise and update these Terms from time to time at our sole discretion. The updated version will be indicated by an updated "Last updated" date at the top of these Terms, and will be effective as soon as it is accessible.

For material changes that affect your rights under these Terms or any ongoing paid programme, we will notify active families by email at least fourteen (14) days before the changes take effect. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of those updated Terms. If you do not agree to the updated Terms, you may terminate your relationship with Kidgency in accordance with Section 11.
